Scandinavian Astor Group (“Astor Group” or the “Company”) announces today that its subsidiary Oscilion Teknik AB has changed its name to Oscilion EW Systems AB. The name change is now registered with the Swedish Companies Registration Office and is effective immediately. Scandinavian Astor Group (‘Astor Group’ or the ‘Company’) announces that approval from the Swedish Inspectorate for Strategic Products (ISP) has been obtained in connection with the previously announced acquisition of Carbonia Composites AB (“Carbonia”). The approval from ISP was one of the conditions for the completion of the transaction. Astor Group resolves on a directed share issue to the seller of Carbonia Composites AB prior to closing. Scandinavian Astor Group (‘Astor Group’ or the ‘Company’) announces that all conditions for the investment in the defense group Nordic Shield Group (“NSG”) which was announced on May 19, 2025 have now been fulfilled, including approval from the Swedish Inspectorate for Strategic Products (ISP). The transaction has thus been completed, and Astor Group has become a shareholder in NSG. Scandinavian Astor Group AB (publ) (“Astor Group”, the “Company” or the “Group”) announces today, June 16, 2025, that the Company has entered into an agreement to acquire all shares in the Latvian company AMMUNITY SIA (“Ammunity” or the “Acquisition”), the largest private ammunition manufacturer in the Baltics. In 2024, Ammunity’s net sales amounted to SEK 103 million, corresponding to an increase of approximately 80 percent compared to 2023, with an EBITDA margin of 21 percent. The purchase price amounts to EUR 3 million, corresponding to a valuation of SEK 93,8 million on a cash and debt-free basis. The Acquisition is financed with the Company’s existing cash. The Acquisition is an important step in the Company’s long-term ambition to develop into a comprehensive defense supplier and at the same time strengthens Europe’s strategic supply capability of ammunition in a changing security landscape. The Acquisition also marks a key milestone in Astor Group’s communicated M&A agenda by realizing the Company’s strategy to grow through selective and strategically important acquisitions in the defense and security sector. The Acquisition is subject to regulatory approvals and is therefore expected to be completed no later than December 2025. Scandinavian Astor Group (”Astor Group” or the ”Company”) announces today that its subsidiary Marstrom Composite AB (“Marstrom”) has received an order of approximately SEK 21.3 million. The order is for the delivery of composite products to a defense contractor in Northern Europe. Scandinavian Astor Group (‘Astor Group’ or the ‘Company’) is strengthening its executive management by creating a new role: Chief Business Development Officer (CBDO). Astor Group has recruited Emelie Agnedal who will take up the role on September 1, 2025. The role is part of the Company’s long-term growth strategy and aims to further accelerate business development within the group. Scandinavian Astor Group’s (‘Astor Group’ or ‘the Company’) subsidiary in Electromagnetic Warfare (“EW”), Oscilion, has received an order for, among other things, the drone jammer Eclipse from a country in the Western world. The order value is approximately SEK 21 million and deliveries are scheduled for 2025. The annual general meeting of Scandinavian Astor Group AB (the “Company”) was held today 22 May 2025 at 10.00 a.m. at Eversheds Sutherland Advokatbyrå’s office on Sveavägen 20 in Stockholm. All resolutions were passed with the required majority in accordance with the previously announced proposals of the nomination committee and the board of directors. The main resolutions passed by the meeting are set out below. Scandinavian Astor Group (‘Astor Group’ or the ‘Company’) announces today that it has entered into an investment agreement of SEK 54.5 million in Nordic Shield Group (‘NSG’), a Swedish group specialising in advanced security solutions for total defence and critical infrastructure. The investment is financed with existing cash and is part of Astor Group’s strategy to strengthen its position in the defence and security sector. The investment means that NSG will become an associated company of Astor Group, through which the Company will own approximately 30% of NSG. Scandinavian Astor Group AB (publ) (“Astor Group” or the “Company”) announces today, 19 May 2025, that its subsidiary Marstrom Composite AB (“Marstrom”) is expanding its business through the acquisition of the Swedish company Carbonia Composites AB (“Carbonia”), which develops and mass produces carbon and glass fibre components for demanding industrial applications, where high strength, low weight and design flexibility are crucial. In 2024, Carbonia had net sales of SEK 51.5 million with an EBITDA of SEK 14 million, which corresponds to an increase of approximately 49 per cent compared to 2023’s EBITDA of SEK 9.4 million. The initial purchase price amounts to approximately SEK 55 million, of which approximately SEK 38.5 million will be paid in cash and is planned to be financed through bank loans of SEK 27.5 million and the remaining own cash, furthermore SEK 16.5 million is paid through a promissory note that the seller of Carbonia has undertaken to set off against new shares in Scandinavian Astor Group at a subscription price per share corresponding to the volume-weighted average price (VWAP) for the shares in the company between 15 May 2025 and 30 May 2025 (the ‘Set-off Issue’). After closing, the initial purchase price shall be adjusted for the net cash/net debt in Carbonia as of the closing date and for any deviations in working capital. This corresponds to an EV/EBITDA multiple of 3.9. The Board of Directors intends to resolve on the Set-Off Issue in connection with the completion of the acquisition, which is expected to take place no later than 31 July 2025.
