Incentive programmes
Incentive programme 2022/2025
There are 850,000 warrants under the incentive programme 2022/2025 for the board of directors and management of the Company. Each warrant shall entitle the holder to subscribe for one new share in Astor Group at a subscription price corresponding to SEK 5.1. If all warrants are exercised, the company will receive approximately SEK 4.3 million. Subscription of shares with the support of the warrants shall be made in accordance with the terms of the warrants from 15 December 2025 up to and including 30 December 2025. Upon full exercise of the warrants, the share capital may increase by SEK 110,500. The dilution if all warrants are subscribed amounts to 3.1%, given the number of shares in the company at the publication of the Q3 2023 report. See table below for distribution.

Employee share incentive programme 2024/2028
At the Extraordinary General Meeting on 23 July 2024, the Meeting resolved to implement the Employee Share Incentive Programme 2024/2028, issue warrants as a hedging arrangement and approve the transfer of warrants in accordance with the previously published proposal. The employee stock option programme 2024/2028 is directed to senior executives and key employees in the Company and its subsidiaries and comprises a maximum of 850,000 employee stock options. Provided that employee stock options have been allotted and vested, each employee stock option entitles the holder to receive one warrant free of charge during the period from 1 January 2028 up to and including 31 March 2028, which entitles the holder to subscribe for one (1) share in the Company at a subscription price corresponding to 175 per cent of the volume-weighted average price on Spotlight Stock Market during the period ten (10) trading days prior to 23 July 2024 (however, never lower than the quota value of the share). The maximum dilution for existing shareholders as a result of the Employee Stock Option Programme 2024/2028, including warrants issued as a result of hedging measures, amounts to approximately 2.18 per cent of the total number of shares in the Company. The Company’s share capital may increase by a maximum of approximately SEK 224,132.48 through Employee Share Incentive Programme 2024/2028.

Incentive programme 2024/2028

Incentive programme 2024/2028 is directed to the members of the Board of Directors and comprises a maximum of 150,000 warrants. Each warrant entitles the holder to subscribe for one (1) new share in the Company from 1 January 2028 up to and including 31 March 2028 at a subscription price corresponding to 175 per cent of the volume-weighted average price on Spotlight Stock Market during the period ten (10) trading days prior to 23 July 2024 (however, never lower than the quota value of the share). The maximum dilution for existing shareholders as a result of Incentive Programme 2024/2028 amounts to approximately 0.39 per cent of the total number of shares in the Company. The Company’s share capital may increase by a maximum of approximately SEK 39,552.79 through Incentive Programme 2024/2028.
